They gave their reasons for going private which is acceptable.

Mainly it is because they do not need any cash call and can expand on their own. Moreover, they are expanding and going into higher capex which may see loans coming into the equation.

Based o n a 5-year analysis, the average price was RM1.60+. So swapping the YHS share at RM3.60 will be a great one for shareholders to exit.

They gave away 24 packets of chrysanthemum flower and lohanko drinks.

Lunch was not too good.

As usual, the AGM crowd were rushing to grab the food like the rats at my SEAPARK market....

From the low doldrums of RM4.50 in July, it went up to sit as a higher perch of RM4.85 by late August, a good 35 sen for those who dared to go in.

Beginning this month, it started from the new base station and moved up to RM4.85-RM4.95.

Yesterday, it climbed beyond RM5.00 and ended up at RM5.12.

Today, Digi.com came out roaring pushing up to a new height of RM5.35.

Buyers were mostly retail and big retail players.

Ended at RM5.29 for a 17 sen gain

Southern Acids Berhad-Dullard by a Stretch

Run Silent, run deep!
True, while other counters involved in palm oil oleins took flight, SAB  being the dullard, stayed put at it price  level. Out of a few hundred days of trading this year, apparently it traded less than 80 days.

So illiquid are its holdings that the company was asked at its AGM today, whether there are reasons why the trade is so thin.

Are there other possible reasons for keeping the price low?

A possible privatisation?

And what about that piece of land sitting on the border of Kota Kemuning. Is it going for a revaluation?

Even now, at the current asset base, SAB would fetch an NTA of above RM3.00?

The Chairman was also asked questions on why they are keeping their health division if their focus is on oleo-chemicals and possibly plantations. They have bought plantation in Indonesia and at Lahad Datu in Sabah. also, Are there going to put up a oleo-chemical plant in Indonesia which will cost  SAB, RM500 million?

As usual, most of the questions were deflected.

So, what do you think?

Will SAB's price be re-rated now that there is this possibility of asset revaluation or will it not take place so that their price can be kept low for a privatisation move?

Your guess is as bad or as good as mine.

The movie has a great dialogue script as well as enough action to sustain the cat and mouse adventure of Holmes and Professor Moriarty, his nemesis.

Great music score and fun throughout.

I would recommend it for tired minds.

Urgent Need of Reinsurance-MNRB

They Need Reinsurance at the AGM today!

I speak in jest for this is one company that is going places.

I think there was one year that they did not give out dividends and its share price tumbled.

Even now, in spite of giving 17% gross dividend this year and 20% last year, share price of the counter is still in the doldrums.

Anyway, I just wanted to describe the big hoo-ha that took place at noon at the MNRB Building when Symphony House was trying to register shareholders and proxies for their 3 pm AGM.

I was told they got ready early but because they did not start the registration process as well, the crowd because too dense and someone, in the melee, stepped on the computer wires, tripped and dislodged the connection and the whole registration process went kaput!

The tense situation was to drag on until 2.20 pm, 40 minutes to AGM time.

Then they brought out the food and the hungry crowd just could not contain their hunger and their ire. So, they make a bee-line to the food tables and eat as well as 'tapau' to the heart's content.

Finally, they got the registration going with pushing and shoving until even the computer tables rocked!

A MNRB staff had to use a hailer to quell the anger of the maddening crowd that refused to line-up but to rush in all directions towards the Symphony House officers.

I knew a few senior citizens just could not take it. In super-hyperventilation mode, they just sat down, have their mee-hoon, telling me they will register when the crowd become more sober.

They gave away RM50 Aeon shopping voucher to shareholders and proxies as well as a nice-looking thermos flask each.

What a day!

The Need for Domain Knowledge

Not everyone can write.

Again even if you are good in writing English, it still does not mean that you can write well on a subject.

The matter become more onerous if you are given a free-lance engagement which demands that you know that subject at the back of your hand and also have that prescriptive mindset to come out with imperative strategies and polices.

And now back to my writing job with this European Consulting company. I guessed the schedule and datelines were pretty tight which became almost non-negotiable when they need to keep hidden in-house datelines.

Truth be told, I managed to do about three chapters before the consulting company and the client company decided to co-write the paper as they were virtually 'running after a train'.

As the other subsequent 4 chapters were prescriptive in nature and includes recommendations as to a model they would like to recommend to the client for technology adoption, my engagement  could not continue because of their change in modus operandi.

It also taught me something.

The consulting company should have got a technology domain writer in the first place.

I could edit the document given my English capability.

Looking back, it was good exposure and experience.

Yes, there was also undue pressure!

They paid me for my time.

YTL Corp-Building a Price Support Shoulder


Would YTL Corp's management allow its share price to topple over?

The recent bondholders got their holdings-swapping it at the value of RM1.80 per share; giving up their fixed coupon rate return for capitalization returns on YTL Corp.

There was a similar price inundation last month when YTL Corp's price  went down to RM1.76 on 3 August.

YTL Corp's share so far has not been able to go beyond the 21 June 2012  level of RM2.15.

The basic reason is the continuous issue of new shares by YTL Corp in exchange for YTL Cement shares and the conversion of the USD 9 million 5-Year Guaranteed Bonds 2015. Exchanged for YTL Corp shares at RM1.80, the shares were traded in September. The need for lead time to digest the new shares has caused YTL Corp share price  to go south.

Today, YTL Corp fell further after slumping 6 sen on Friday from RM1.80. It almost touched RM1.70 but the lowest done was RM1.71 before recovering to tack on 3 sen to RM1.77.

However, being a good stock, there is no scarcity of buyers. The biggest buyer as usual is the EPF. Anytime, there is a price slide, EPF and YTL Corp will be on the buying end with the latter adding on to their Treasury holdings.

I believe that once a  broad shoulder support price is built, YTL Corp will find traction and bounce yet again beyond RM2.00.

The mathematics is there. The model is viable.

Only thing left is timing......

Magendran, Wandering Yogis and Vegetarian Dinner

I missed the first dinner appointment with Magendran about two weeks back.

God, the giver of second chances, gave me just that.

So, when Bala emailed me about meeting up with Magendran and invited me and Chuan along , we happily agreed.

Yesterday, evening as the local prime news appeared on television, we were seated comfortably in a nook of a restaurant in Section 8 of PJ, having delightful vegetarian food- i.e. the Lily Pond Vegetarian Restaurant.

Magendran has to spend at least 6 months in Malaysia before he goes back to Melbourne for a year and he has to do this until PR conditions permits him to have a longer stay in Australia.

As usual, Magendran reads and is in all things spiritual from tales of wandering Indian yogis, how they found 'God' in themselves in verdant jungles and Himalayan mountains to resurrection and body snatching.

He told us he needs to read more about Christianity.

Food was alright especially the deep fried brinjals and the fake fried  'fish'.

Dinner was truly fast and I was home by 9 pm.

Should meet more often as age is coming fast.

What was interesting from yesterday dinner was Bala telling us that he has read about life after death and that was re-assuring.

Said there is a translation job from someone formerly high up on the banking sector. She named the premier bank that he used to work in.

Then she inquired whether I would like to do a translation job?

No, she does not know too much of the details.

Apparently, it has to do with translation of a driver's manual from English to BM.

Was I game?

Why not?

Siti tells me she will give my phone number to this chappie.

Will it come to pass and will this chap be a good paymaster?

Will this be a sustainable changeover from English tutoring for me next year?

Only God knows.

We headed for Bangsar Shopping Complex in spite of the lunch traffic and the little raindrops appearing on the car's windscreen.

A usual, you do not get a car park that easily. I managed to find one on level B1.

Monte's is a always a great place to dine in.

Ambiance
Good ambiance, close-to-your heart service and the food-gratifying.

We took the executive set lunch parading a sirloin steak, pumpkin soup with vanilla ice cream as desert, tea and a side of bread and butter.

The sirloin steak, done at medium rare met with our approval and the pumpkin soup was just tantalizing.

Juicy
Just for the fun of it, we ordered half a dozen of French escargots. Well marinated in garlic and cheese. Verdict-scrumptious!

The bill came to an affordable RM125.00.

In spite of the 20 points fall on Bursa KL, this bulldog of a penny stock held a tight grip to its price range in trading all day today.

In the last 30 minutes, I tried to get in on the action by pegging a price of 33.5 sen for its warrants.

Surprisingly, there was no rush for the sellers to give in to the bargaining power of the buyers on such a terrible trading day.

So, when I checked my trading status, it registered ' expired'.

Tomorrow is Friday again and it will be another day when buyers will come in to pare down prices.

Will THHE stand up to the pressures or will it succumb and re-trace back to 50 sen for the stock and at 30 sen for its warrants?

Bosses Wants English-Speaking Employees

Learn English Now!

Not anyone but the Malaysian Employers Federation(MEF) which is saying this.
Employers want graduates who can speak, read and write well in English, not just those who pass the subject in exams.
Executive director Shamsuddin Bardans said of  the 28% of students who had received a credit in Sijil Pelajaran Malaysia (SPM) English in 2010, only 30%-40% would be employable, as revealed in the Malaysia Education Blueprint 2013-2025.


He doesn't minced his words when he said starkly, “A credit in SPM English doesn't mean you can communicate well. Even if you increase the number of students who pass with a credit to 90%, it still won't fill up the gaps in the workforce if only 30%-40% of those graduates can communicate well” 
He added the situation was further aggravated when employers are reluctant to offer English and communication training to employees.
Shamsuddin said most companies would rather use the 1% tax levy for staff training from the Human Resource Development Fund for other endeavours.
He also highlighted the discrepancy between the employer's views on the importance of English in hiring versus those of fresh graduates .
“In a survey by JobStreet, 56% of employers viewed poor command of English as a reason for not hiring, while only 23% of fresh graduates shared that view.
“It is a big gap in perception. Only half the number of fresh graduates believe English is important in landing a job,” he said.
British Council English Language Services director Sam Ayton said the inadequacy of English education could potentially create serious gaps in the global job market for both advanced and developing nations.
“But global trends reveal that education systems worldwide are now emphasising English and, as a consequence, children are getting proficient at an earlier age, where eventually  English proficiency will be commonplace globally,” she said.
Another speaker at the forum, TalentCorp Malaysia Johan Mahmood Merican said it was important to change the Malaysian attitude towards English.
“We have to change the youth's outlook on English. The language must be seen as a means of advancement in life, to land a better job or to access a wider range of knowledge,” he said.
He added that English needed to be promoted not just in terms of learning but also for communication.
“Are we really training our children to communicate?” he asked.
“We need our teachers to really engage our children and provide them the soft skills they will need in the working world,” he said.

I think the Board got it all wrong. I mean all 100% wrong.

Buying almost all of the Chairman's  personal land bank for one, is " not very nice-lah"

Secondly, I think the valuation would not have possibly favoured the minority shareholders.

Thirdly, timing is real-real wrong especially when your share price is lower than the rights pricing.

The bonus issue is just too scrawny to be an attractive sweetener.

Let us look at a typical case of a shareholder with 1000 shares in Dijaya.

So, he applies for what is his due.  His entitlement: 4 new shares for every 5 held.  So, he gets 800 new rights at RM1.20 x 800 = RM960.00

He also gets 1 bonus share for every 4 rights subscribed. For 800 shares,  he gets 160 bonus shares.

Now let us calculate whether he gains or not from participating in this cash raising exercise.

As the share price is now currently at RM1.11, he loses 9 sen x 800 = RM72.00.

Let us attribute a price for the bonus issue. As it is priced at only 20% of current price, let us generously give it a fair vale of 22 sen. So the shareholder will make RM35.20.

Now let us add the overheads for subscription. The government stamp duty costs RM10 while the bank-draft charge at RM5.

The losses is RM72.00 and the overheads is RM15.00. Now let us add in the bonus gains of  RM35.20.

The losses and overheads will come to RM87.00. Deducting the gains from the bonus issue, the shareholder will lose RM51.80.

Auto-loss

 Now, a person in his right mind  will never subscribe for this rights and bonus exercise.

The only gainer is likely Danny Tan.

Com Oath-The Interview

Truth be told. I knew I did well and aced the exam in Sun Tzu style!

So, when I went to the Pos Laju Office this morning to collect a letter, there it was.

And so I have been called for an interview for the post of Commissioner of Oath.

It is at usual at the Palace of Justice at Putrajaya on Monday, 8th October at 9 a.m.

So, I will have to re-read the silly COM Rules to give a super verbal  viva voce this time around.

I guess getting ready for the interview is half the fun.

Must remind myself to bring my Identity Card, my full  resume and my certificates when I go for this interview.

Meanwhile, kena belajar sekali lagi!

The way the father and son team took on Talamgate  was also heartrending. It was so unprofessionally  unpleasant of them to hit at the State government even though KPMG has already endorsed that it was above board and legit.

Chua Soi Lek's recent fight with Heng Siae Kie-- blaming her for trying to take on the Gopeng seat with the help of UMNO behind his back   is truly sad as it may just cause more internal friction between Wanita MCA and the head-honco of MCA.

Looks like MCA is going down mortuary way.................

Now, DiGi Telecommunications Sdn Bhd has launched an aggressive prepaid mobile phone plan that allows subscribers to enjoy 24-hour free calls, SMSes and Facebook access.
Called DiGi Easy Prepaid, DiGi said this refreshed offering is tailored for savvy consumers who are comfortable using both voice and data channels. Existing DiGi Easy Prepaid customers can migrate to the new plan from Sept 14 for a RM5 fee.
"They can interact with three Buddyz (DiGi numbers) freely and easily at zero charges within their self-created "mini community of four" via phone calls, SMS and Facebook," said DiGi in a statement today.
Apart from the three Buddyz, calls are charged at 30 sen per minute to all networks and 8 sen per SMS to non-DiGi numbers.

Well, for everything there will be  phases.

A time to sow and a time to harvest. A time to study and a time to rejoice..if you succeed, that is.

For my son, today is Day 1 at Sunway University--Management Accounting with Mr Tan. So my son was in  class whether he likes it; or disdains the opening upshot of a grueling 3 hour drone of a lecture!

Could be tough handling comprehension of academic English and the desert-sand dry subject at one go.

Anyway, it would be a challenge to him. Challenges toughen a person.

Yesterday, he was already poring over the notes to ready himself for this morning's lecture.

So, I quipped, " New vacuum cleaner, sweeps clean, doesn't it?"

May not be so technologically appropriate but the message hums true as well, I believe so.

And I also had one philosophical advice for him-Don't lose the forest for the trees!

Anyway ,will ask him in the afternoon, how the lecture went.

YTL-Power Warrants Finally Comes on Stream

So, let us recap.

The Station at Paka
For every 15 shares you have in YTL Corp on 18 June 2012, you will be entitled to get one free warrant at 20 sen.

So, a shareholder having 1000 shares will be allotted 66 warrants.

A friend of mine was allotted 811 warrants.

As per warrant is offered at 20 sen instead of the current 51 sen, he has to cough out RM162.20 and he will have to add the bank draft charges of RM5 plus pay RM10 stamp duty. All in all, he will have to set aside RM177.20.

However, he has a choice of rounding it to 1000 units in which the company may just give him the remaining excess of 189 units at RM37.80. In this scenario, he will pay out RM215.00

As the current price of YTL-Power Warrant is trading at 51.5 sen per unit, it pays for a shareholder to go for excess shares.(Rounded down to 51 sen)

For instance, a person can buy excess units worth 20,000. All he needs to pay is 20,000 x 0.20 = RM4,000

Assuming he gets what he subscribed, he will stand to gain 51-20=31 sen x 20,000= RM6,200. After deducting RM60.00 for overheads; he will have a net gain of RM6,140.

Strangely, you will also have those people with odd lots.

Some even have two units offered to them.

Let us assume, they buy to top up to 100 units, 1000 units and 10,000 units

If they only buy up to 100 units, they will have to pay RM20. Overhead charges will come to RM20, making a total commitment of RM40.
